Mergers and Acquisitions

Gravel and Shea's mergers and acquisitions practice has involved a wide variety of companies both within and outside the State of Vermont. The transactions in which we have been involved have ranged in size from over Fifty Million Dollars ($50,000,000) to transactions involving the purchase of a small specialized business practice or manufacturing or retail facility.

Transactions in which we have served as counsel have often involved tax-free reorganizations as well as taxable sales of assets, and we have been integrally involved in structuring those transactions. Our role has also involved the negotiation of complicated price adjustment formulas, earn outs, and provisions related to securities of acquiring companies.

We regularly represent purchasers and sellers of businesses. We also represent several investment banking/brokerage firms who are active in such transactions.
