Business Formation and Representation

Gravel and Shea has an active business formation and representation practice group. We assist newly-formed and active companies, financial institutions and entrepreneurs in a wide variety of commercial transactions, investments, securities and limited liability company and partnership issues including those related to the following areas:

  • Business planning, formation and reorganization
  • Mergers and acquisitions
  • Representation of borrowers, lenders, issuers, and purchasers of debt, equity and other types of securities
  • Acquisitions and sales of businesses
  • Intellectual property matters including trademark and copyright registration
  • Stock option plans and other compensation issues
  • Product licensing, distribution and marketing issues

Members of our group have been integrally involved with revisions to the Vermont Business Corporation Act, the adoption of the Vermont Limited Liability Act, Vermont Uniform Partnership Act, Vermont Securities Act, and other important business legislation in Vermont.
